1. Acceptance of Terms

By accessing or using AI Video Intelligence Suite ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

AI Video Intelligence Suite is a Chrome extension that:

• Processes YouTube videos through AI analysis using Google AI Studio
• Generates structured reports from video content
• Integrates with NotebookLM for knowledge management
• Provides personal knowledge base organization tools

3. User Accounts

3.1 Registration

• You must authenticate with a Google account
• You must be at least 13 years old
• You are responsible for maintaining account security
• You must provide accurate information

3.2 Account Responsibilities

• One account per person
• Do not share your account credentials
• Notify us immediately of unauthorized access
• You are liable for all activities under your account

4. Subscription Plans and Billing

4.1 Subscription Tiers

• Free Tier: Limited to 20 videos per day, basic features
• Pro Tier: $9.99/month or $99/year - unlimited videos, advanced features
• TNF Membership: $49/month or $490/year - all features plus The New Fuse integration

4.2 Billing

• Subscriptions auto-renew unless canceled
• Billing occurs on your subscription anniversary
• Payments processed through PayPal/Stripe
• Price changes notified 30 days in advance
• No refunds for partial months (except as required by law)

4.3 Cancellation

• Cancel anytime through account settings
• Access continues until end of billing period
• Downgrade to Free tier upon expiration
• No refund for unused time

5. Acceptable Use Policy

5.1 You MAY:

• Process your own YouTube videos or videos you have permission to use
• Generate reports for personal or commercial use
• Export and share generated reports (you own your data)
• Use API access (TNF tier) within rate limits

5.2 You MAY NOT:

• Violate YouTube's Terms of Service
• Process copyrighted content without permission
• Abuse or overload our systems
• Reverse engineer the extension
• Resell or redistribute the Service
• Use the Service for illegal activities
• Scrape or crawl the Service
• Circumvent usage limits or authentication
• Share account credentials

6. Intellectual Property

6.1 Your Content

• You retain ownership of your generated reports
• You grant us license to store and process your data to provide the Service
• You can export and delete your data anytime

6.2 Our Content

• The extension, website, and Service are our property
• Protected by copyright, trademark, and other laws
• You may not copy, modify, or distribute our code

7. Third-Party Services

The Service integrates with:

• YouTube API: Subject to YouTube's Terms of Service
• Google AI Studio: Subject to Google's Terms of Service
• NotebookLM: Subject to Google's Terms of Service
• PayPal/Stripe: For payment processing

We are not responsible for third-party services' availability, performance, or terms.

8. Privacy and Data

Your use of the Service is governed by our Privacy Policy. Key points:

• We do not sell your personal data
• YouTube tokens are encrypted
• You can export and delete your data

9. Service Availability

9.1 Uptime

• We strive for high availability but do not guarantee 100% uptime
• Maintenance windows will be announced when possible
• No SLA for Free tier

9.2 Service Changes

• We may modify, suspend, or discontinue features
• Significant changes will be communicated in advance
• Free tier features may change without notice

10. Disclaimers and Limitations

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 AI-Generated Content

• AI analysis may contain errors or inaccuracies
• We do not guarantee accuracy of generated reports
• You are responsible for verifying AI-generated content
• We are not liable for decisions based on AI analysis

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or errors
• Third-party actions or content

Maximum Liability: Our total liability shall not exceed the amount you paid us in the past 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Your content or data

12. Termination

12.1 By You

• Cancel subscription anytime
• Delete account through settings
• Data deleted within 30 days

12.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Fraudulent activity
• Abuse of the Service
• Non-payment

We will provide notice when reasonably possible.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law provisions.

13.2 Arbitration

Disputes shall be resolved through binding arbitration rather than court, except:

• Small claims court cases
• Intellectual property disputes

13.3 Class Action Waiver

You agree to resolve disputes individually, not as class actions or consolidated proceedings.

14. Changes to Terms

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and us.

15.2 Severability

15.3 No Waiver

Failure to enforce any right does not constitute a waiver.

15.4 Assignment

You may not assign these Terms. We may assign to affiliates or acquirers.
